Master Services Agreement & Terms of Service
1. Scope and Acceptance
These Terms of Service constitute a legally binding agreement between your organization ("Customer", "You", or "Licensee") and Nivansware Studios ("Nivansware", "We", "Us", or "Provider"), governing the use of the Garnet Gate GitHub Application, API endpoints, and associated sovereign code-integrity services ("Service").
By installing the Garnet Gate GitHub Application, submitting an organization email, or activating a commercial subscription, Customer agrees to be bound by these Terms.
2. Service Description & Pull Request Governance
Garnet Gate operates as an autonomous pre-merge code inspection gatekeeper integrated with GitHub Pull Requests. The Service evaluates code diffs against three core security and quality rulesets:
- Slopsquatting & Dependency Verification: Intercepts hallucinated, unregistered, or weaponized package names before registry installation.
- Credential & Secret Detection: Blocks commits and pull requests exposing sensitive API tokens, cloud keys, or cryptographic secrets.
- Code Integrity & Defective Pattern Analysis: Flags swallowed exceptions (empty error handlers), cyclic complexity, and dangerous automated AI outputs.
🛡️ 3. Customer Code Sovereignty & Zero Retention Warranty
Customer retains 100% exclusive ownership of all source code, pull requests, and intellectual property.
Nivansware enforces a strict Zero Data Retention Guarantee. Pull Request diffs are processed purely within ephemeral, volatile RAM on our secure Frankfurt node (fra) and are instantly purged upon generation of the GitHub Check Run. Nivansware does not write, log, store, replicate, or train artificial intelligence models on Customer source code.
4. Subscription Tiers & Fair Commercial Billing
The Service is offered on transparent, predictable flat-rate commercial terms without hidden metered usage or deceptive auto-scaling traps:
- Verified Student Pass: $49 for 6 months (one semester). Restricted to non-commercial academic use on 1 active repository. Requires verified academic email (.edu, .ac.uk).
- Solo Professional: $99/month. Commercial license supporting up to 5 active repositories.
- Agency & Studio Tier: $249/month flat. Unlimited repositories, unlimited developer seats, and unrestricted Pull Request volume.
- Enterprise Sovereign Concierge: $2,499/month ($29,988 annual contract). Dedicated compliance concierge, custom DPA execution, CRA audit export certificates, and optional sovereign VPC deployment.
All subscription payments are securely processed via Stripe. Customer may manage, upgrade, or cancel their subscription at any time with immediate effect at the end of the current billing cycle.
5. Warranties & Disclaimer
The Service is provided on an "as-is" and "as-available" basis to assist engineering teams in intercepting known AI hallucinations and code defects. While our AST rulesets and registry verification engines operate with high precision, no automated security tool can guarantee 100% interception of novel zero-day exploits.
Customer remains ultimately responsible for the final review, merging, deployment, and testing of their software applications.
6. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the Service.
In all circumstances, Nivansware's aggregate commercial liability under this Agreement shall be limited to the total fees actually paid by Customer to Nivansware in the twelve (12) months preceding the event giving rise to liability.
7. Termination & Cancellation
Customer may cancel their commercial subscription at any time via the Stripe Customer Portal or by uninstalling the GitHub Application. Upon cancellation, PR gatekeeping will remain active through the conclusion of the paid billing period.
Nivansware reserves the right to suspend installations that deliberately attempt to reverse-engineer, exploit, or launch denial-of-service attacks against our Frankfurt webhook cluster.
8. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Switzerland and the European Union commercial framework, without regard to conflicts of law provisions. Any dispute shall be resolved through good-faith commercial negotiation before the courts of Zurich or Frankfurt.
